Buying or selling a business involves financial, legal, tax, regulatory, and operational risk. Marketplace verification is not a guarantee. Perform independent due diligence and obtain professional advice before proceeding.

1. Agreement

These Terms govern Buy n Sell Businesses accounts, profiles, listings, files, introductions, and marketplace support. By registering or using the service, you agree to these Terms and our Privacy Policy. If you act for another person or company, you confirm you have authority to do so.

2. Our role

Buy n Sell Businesses provides a marketplace and may review listings, verify contact methods, facilitate introductions, and mediate communications. Unless separately agreed in writing, we are not a party to a sale, lender, broker, fiduciary, legal adviser, tax adviser, accountant, valuer, or investment adviser. Users remain responsible for negotiations, diligence, contracts, approvals, payments, and closing.

3. Eligibility and accounts

  • You must be at least 18 and legally capable of entering contracts.
  • Your registration and profile information must be accurate and current.
  • Email verification is required. We may collect a phone number without requiring phone OTP verification.
  • You must protect your password and notify us of suspected unauthorised access.
  • You may maintain both buyer and seller profiles but must not impersonate others.

4. Seller profiles and listings

Sellers must have authority to list the business and provide truthful, supportable, non-misleading information. Financial figures, ownership, licences, assets, intellectual property, employees, price, and reasons for sale must be represented fairly and updated after material changes.

We may review, reformat, request evidence for, reject, pause, or remove a listing. Approval is not an audit, valuation, endorsement, or warranty. Sellers remain responsible for all content and disclosures.

5. Buyer conduct and due diligence

Buyers must be truthful about identity, authority, intentions, and investment capacity. Showing interest creates no exclusivity or purchase right. Buyers must independently investigate financials, ownership, liabilities, contracts, licences, tax, employees, assets, and applicable laws. Do not rely solely on listing summaries, converted currencies, badges, or uploaded documents.

6. Confidentiality and uploaded files

Non-public business information, member identities, and restricted files may be used only to evaluate the relevant opportunity. You must not disclose, scrape, reproduce, publish, compete with, solicit from, or misuse that information.

By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, format, review, secure, and display it as needed to operate the service according to its visibility setting. You retain ownership and confirm you have all required rights.

7. Fees and costs

Features may be free unless a price or plan is shown. Advisory, promotional, subscription, success-fee, or transaction services may have separate written terms. Users remain responsible for taxes, advisers, diligence, banking, escrow, transfer, and other third-party costs.

8. Prohibited conduct

  • Fraudulent, unlawful, duplicate, unavailable, or misleading listings.
  • Malware, infringing files, unnecessary personal data, or documents you cannot share.
  • Bypassing verification, mediation, access controls, fees, or confidentiality restrictions.
  • Scraping, harvesting, reverse engineering, probing, or overloading the service.
  • Spam, harassment, discrimination, money laundering, sanctions evasion, or manipulation of marketplace signals.

9. Intellectual property

The platform software, design, branding, organisation, and original content are owned by or licensed to the marketplace operator. You receive only a limited, revocable, non-transferable right to use the service for its intended purpose.

10. Suspension and termination

We may investigate, restrict, suspend, or close accounts or listings where these Terms, law, safety, marketplace integrity, or another person’s rights may be at risk. Confidentiality, ownership, liability, disputes, and accrued obligations survive termination.

11. Disclaimers and liability

The service is provided on an “as available” basis to the extent permitted by law. We do not guarantee uninterrupted access, listing accuracy, buyer capacity, seller authority, financing, transaction completion, business performance, file authenticity, or exchange-rate accuracy. Currency conversions are estimates; the listing’s stored source currency controls.

To the maximum extent permitted by law, we are not liable for indirect, special, punitive, incidental, or consequential losses, lost profits or opportunity, user conduct, third-party services, or a business transaction. Nothing excludes liability that cannot legally be excluded. Where liability can be limited, aggregate liability will not exceed the amount paid directly to us for the relevant service during the previous 12 months.

12. Indemnity

To the extent permitted by law, you agree to indemnify the marketplace operator and its personnel against third-party claims and reasonable costs arising from your content, transaction, unlawful conduct, breach of these Terms, or infringement of another person’s rights.

13. Governing law and disputes

These Terms are governed by the laws of India, except where mandatory local law applies. The parties should first attempt good-faith resolution through written notice. Courts of competent jurisdiction in India will have jurisdiction unless applicable law requires otherwise.

14. Changes and general terms

We may post revised Terms with a new effective date. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. We may assign these Terms with a transfer or reorganisation of the platform; you may not assign them without consent.
